These Terms and Conditions ("Terms") govern your use of AADOPS, a brand and platform operated by Affitrage Ltd, a company registered in Nigeria ("we", "us", "Affitrage"). This includes aadops.com, the web and mobile application, marketplace, and all associated services (the "Platform"). By registering or using any Platform feature, you agree to these Terms.
Affitrage Ltd operates AADOPS from Port Harcourt, Rivers State, Nigeria. These Terms are governed by Nigerian law.
You may use AADOPS if you are at least 18 years old, operating a business in Nigeria, have legal capacity to enter binding agreements under Nigerian law, and provide accurate registration information. Affitrage Ltd may refuse, suspend, or terminate any account that violates these Terms or poses risk to the Platform or its users.
At registration you provide your business name, full name, email, password, and business type. You are responsible for your account security and all activity under it. Notify us immediately at support@aadops.com if you suspect unauthorised access. You may not share credentials or create multiple accounts to circumvent limits.
AADOPS offers a free Starter plan and paid plans (Standard, Power, Enterprise) billed monthly, quarterly, or yearly in Nigerian Naira (NGN). Payments are processed by Flutterwave on behalf of Affitrage Ltd. By subscribing you authorise Affitrage Ltd to charge your payment method at the start of each billing period. Fees are non-refundable except as set out in the Refunds and Returns Policy. Price changes take effect at your next renewal with 30 days notice.
AADOPS operates a B2B marketplace where verified sellers, farmers, and producers list goods and verified buyers place orders. Affitrage Ltd is a platform intermediary and not a party to any transaction. Affitrage Ltd does not hold title to any goods listed.
Sellers represent that goods are legally theirs to sell, accurately described, available in the quantity listed, and that confirmed orders will be fulfilled on time.
Buyers agree to pay through AADOPS escrow, confirm delivery honestly upon receipt, and not raise false disputes.
Commission: Affitrage Ltd charges a commission on completed transactions, visible in your account settings, deducted from escrow before disbursement.
Marketplace payments are processed through escrow managed by Affitrage Ltd via Flutterwave. Funds are held until delivery is confirmed or automatic release conditions are met.
Automatic release: If a registered logistics provider confirms delivery and the buyer has not confirmed or raised a dispute within 72 hours, escrow releases automatically to the seller.
Disputes: Either party may raise a dispute before escrow is released. Affitrage Ltd reviews disputes and makes a binding determination. See Section 8.
Disbursement: Funds transfer to the seller registered bank account via Flutterwave, typically within 24 hours. Affitrage Ltd is not responsible for delays caused by the seller bank or Flutterwave.
Marketplace selling requires identity verification. KYC requires a valid NIN. KYB requires a CAC registration number and supporting documents. By submitting verification documents you consent to Affitrage Ltd processing this information for verification and fraud prevention. Affitrage Ltd may revoke verification if information was false or the account poses a compliance risk.
You may not use AADOPS for:
Violations may result in immediate suspension or termination without notice or refund.
For marketplace disputes:
Affitrage Ltd determination is final and binding. Unresolved non-marketplace disputes shall be submitted to binding arbitration in Port Harcourt, Nigeria, under the rules of the Lagos Court of Arbitration.
The AADOPS Platform, its source code, design, branding, and original content are the intellectual property of Affitrage Ltd. You retain ownership of all data you input. By using the Platform you grant Affitrage Ltd a limited, non-exclusive licence to process and store your data to provide the service. Affitrage Ltd will not sell your identifiable business data to third parties.
You may cancel your paid subscription at any time through Settings. Cancellation takes effect at the end of the current billing period. Affitrage Ltd does not provide pro-rated refunds for unused subscription periods except in cases of billing error, Affitrage-initiated termination without cause, or as required by Nigerian consumer protection law. Affitrage Ltd provides the Platform on an "as is" basis. To the maximum extent permitted by Nigerian law, Affitrage Ltd is not liable for: losses from transactions between buyers and sellers; account security failures; third-party service failures including Flutterwave; indirect or consequential losses; or losses exceeding the amount you paid Affitrage Ltd in the 3 months preceding the claim. Nothing limits liability for fraud, death, or personal injury caused by Affitrage Ltd negligence.
Material changes will be communicated by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the Federal Republic of Nigeria, including the FCCPA 2018, NDPR 2019, NDPA 2023, and applicable CBN guidelines. Disputes are subject to the exclusive jurisdiction of the courts of Rivers State, Nigeria.
